1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the website link4.tech (the "Website"), and all services, products, APIs, and solutions provided by LINK4TECH LTD (Company number: HE421920), registered at Lemesou Avenue 60, Nicosia, Strovolos 2014, Cyprus ("LINK4TECH", "we", "us", or "our").

By accessing or using our Website or services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Website or services.

2. Definitions

In these Terms, the following definitions apply:

  • "Client" means any individual, company, or entity that engages LINK4TECH for services or accesses our APIs
  • "Services" means all services provided by LINK4TECH, including but not limited to software development, system integration, mobile application development, outsourced software testing, IT consulting, information security, payment processing solutions, and API services
  • "API" means any application programming interface provided by LINK4TECH, including the Payment Gateway API, Processing API, and 3D Secure API
  • "User" means any person who accesses or uses the Website or Services
  • "Content" means all text, images, software, code, data, and other materials available on or through our Website and Services
  • "Digital Wallet" means a mobile or digital payment service, including but not limited to Google Pay and Apple Pay

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Services. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. Services

4.1 Scope of Services

LINK4TECH provides a range of technology and software services, including:

  • Custom software development
  • Software integration and system integration
  • Mobile application development
  • Outsourced software testing
  • IT consulting
  • Information security services
  • Payment processing and acquiring solutions (Visa, Mastercard)
  • 3D Secure provider services
  • API development and integration services
  • Cryptocurrency software solutions

4.2 Service Agreements

Specific services may be subject to additional terms, service level agreements (SLAs), or separate contracts. In the event of a conflict between these Terms and any separate service agreement, the terms of the separate service agreement shall prevail for the specific services covered by that agreement.

4.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

5. API Terms of Use

5.1 API Access

Access to LINK4TECH APIs (Payment Gateway, Processing API, 3D Secure API) is subject to these Terms and any applicable API documentation and agreements. You must register and obtain proper credentials to access our APIs.

5.2 API Usage Restrictions

When using our APIs, you agree to:

  • Use the APIs only for lawful purposes and in compliance with all applicable laws and regulations
  • Not exceed any rate limits or usage quotas established by LINK4TECH
  • Keep your API credentials confidential and not share them with unauthorised parties
  • Not reverse engineer, decompile, or disassemble any aspect of the APIs
  • Not use the APIs to create a competing product or service
  • Comply with all applicable payment card industry standards, including PCI DSS and PCI 3DS
  • Promptly notify LINK4TECH of any security breach or unauthorised use of your API credentials
  • Not transmit any malicious code, viruses, or harmful content through the APIs

5.3 API Availability

While we strive to maintain high availability of our APIs, we do not guarantee uninterrupted or error-free access. Scheduled maintenance, updates, and unforeseen circumstances may result in temporary service interruptions. Any uptime guarantees shall be specified in separate service level agreements.

6. Payment Processing and Digital Wallets

6.1 Payment Services

LINK4TECH provides payment processing solutions that may facilitate transactions through various payment methods, including credit and debit cards (Visa, Mastercard), bank transfers, and Digital Wallets (Google Pay, Apple Pay).

6.2 Google Pay and Apple Pay

When transactions are processed through Google Pay or Apple Pay via our solutions:

  • You acknowledge that the use of Digital Wallets is also subject to the respective terms and conditions of Google and Apple
  • LINK4TECH processes only tokenised payment data and does not have access to your actual card numbers
  • All transactions are processed in compliance with the applicable payment network rules and security standards
  • LINK4TECH is not responsible for any issues arising from the Digital Wallet provider's services or policies
  • Refunds for transactions made via Digital Wallets will be processed in accordance with the applicable refund policies and payment network rules

6.3 PCI Compliance

Our payment processing solutions are PCI DSS and PCI 3DS certified. Clients using our payment services must also comply with applicable PCI DSS requirements and must not store, process, or transmit cardholder data in a manner that violates PCI DSS standards.

6.4 Transaction Disputes

Any disputes regarding payment transactions should be directed to the relevant payment service provider or merchant. LINK4TECH will cooperate with reasonable dispute resolution processes in accordance with applicable payment network rules and regulations.

7. Intellectual Property

7.1 LINK4TECH Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, software, and code, is the property of LINK4TECH or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Website without our prior written consent.

7.2 Trademarks

LINK4TECH, Link4Pay, and all related logos and marks are trademarks of LINK4TECH LTD or its affiliates. You may not use these trademarks without our prior written consent.

7.3 Client Intellectual Property

Ownership of intellectual property developed under a service agreement shall be governed by the terms of that specific agreement. Unless otherwise agreed in writing, LINK4TECH retains ownership of all pre-existing intellectual property, tools, frameworks, and methodologies used in the delivery of services.

8. User Obligations

When using our Website and Services, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your account credentials and API keys
  • Not use the Website or Services for any unlawful, fraudulent, or malicious purpose
  • Not interfere with or disrupt the integrity or performance of the Website, Services, or APIs
  • Not attempt to gain unauthorised access to any part of the Website, Services, or related systems
  • Comply with all applicable laws, rules, and regulations, including those related to data protection, anti-money laundering, and financial services
  • Not transmit any spam, malware, or other harmful content
  • Not scrape, crawl, or use automated means to access the Website or Services without our express written permission

9. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or regulation. This obligation of confidentiality shall survive the termination of these Terms.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LINK4TECH DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINK4TECH, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, SERVICES, OR APIS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

10.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF LINK4TECH FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO LINK4TECH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless LINK4TECH, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Website, Services, or APIs
  • Your breach of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property or other rights
  • Any data you submit, process, or transmit through our Services or APIs

12. Termination

We may terminate or suspend your access to the Website and Services, in whole or in part, at any time and without prior notice, for any reason, including but not limited to a breach of these Terms. Upon termination:

  • Your right to access and use the Website and Services shall immediately cease
  • Any outstanding payment obligations shall remain due and payable
  • Provisions that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, limitations of liability, indemnification, and governing law

13. Force Majeure

LINK4TECH shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government actions, power failures, internet or telecommunications failures, cyberattacks, or any other force majeure event.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and LINK4TECH with respect to the subject matter hereof.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

The failure of LINK4TECH to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of LINK4TECH. LINK4TECH may assign its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

15.5 Amendments

We reserve the right to amend these Terms at any time. Any amendments will be effective upon posting the updated Terms on the Website with a revised "Last updated" date. Your continued use of the Website and Services after such posting constitutes your acceptance of the amended Terms.
